Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your use of the EdunodeX platform (the "Service") operated by Xentovia Tech Pvt Ltd ("Company", "we", "us", or "our"), accessible at edunodex.in and related subdomains.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

2. Description of Service

EdunodeX is a cloud-based School Operating System that provides K-12 schools with tools for:

  • Academic management, attendance tracking, and exam/report card generation.
  • Fee management, invoicing, and payment collection.
  • Parent communication via WhatsApp, SMS, and in-app notifications.
  • AI-powered insights via Xentovia AI (multilingual chatbot).
  • Transport, library, hostel, payroll, and other school administration modules.

Each subscribing school receives a dedicated portal (school.edunodex.in) with isolated data.

3. User Accounts

  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the confidentiality of your login credentials.
  • You must notify us immediately of any unauthorized use of your account.
  • School administrators are responsible for managing user roles and permissions within their portal.
  • You must be at least 18 years old to create an account. Student accounts are created and managed by authorized school staff.

4. Subscription and Pricing

  • EdunodeX offers a 30-day free trial with no credit card required.
  • After the trial, the Service is billed at the per-student-per-month rate displayed on our pricing page.
  • All prices are in Indian Rupees (INR) and exclusive of applicable taxes (GST).
  • We reserve the right to modify pricing with 30 days' prior notice.
  • Subscriptions can be cancelled at any time. Access continues until the end of the current billing period.
  • Refunds are not provided for partial billing periods.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law.
  • Upload or transmit viruses, malware, or any harmful code.
  • Attempt to gain unauthorized access to other users' accounts or school portals.
  • Scrape, crawl, or use automated means to access the Service without our written consent.
  • Resell, sublicense, or redistribute the Service without authorization.
  • Use the Service to send unsolicited messages or spam via WhatsApp or any other channel.

6. Data Ownership and Responsibilities

  • Your data: All school data (student records, academic data, fee records, etc.) entered into EdunodeX remains the property of the school.
  • Data accuracy: Schools are responsible for the accuracy and legality of data they enter into the platform.
  • Data export: Schools may request export of their data at any time in a standard format.
  • Data deletion: Upon account termination, school data will be deleted within 30 days unless retention is required by law.
  • Our use: We do not use school-specific data for purposes other than providing the Service, except in anonymized, aggregated form for improving the platform.

7. WhatsApp and Communication Services

  • EdunodeX integrates with the WhatsApp Business API to send notifications on behalf of schools.
  • Schools are responsible for ensuring they have appropriate consent from parents and staff before sending messages.
  • Messages sent via the platform must comply with WhatsApp's Business Policy and Commerce Policy.
  • We reserve the right to suspend messaging features if usage violates WhatsApp's policies or applicable laws.

8. Xentovia AI

  • Xentovia AI provides insights and responses based on the school's own data.
  • AI-generated outputs are provided for informational purposes and should not be treated as professional advice (legal, medical, financial, etc.).
  • We continuously improve Xentovia AI but do not guarantee the accuracy of all AI-generated responses.
  • School data processed by Xentovia AI is not shared with external AI providers or used to train third-party models.

9. Intellectual Property

  • The EdunodeX platform, including its design, code, features, Xentovia AI, and branding, is the intellectual property of Xentovia Tech Pvt Ltd.
  • You may not copy, modify, distribute, or reverse-engineer any part of the Service.
  • The school retains all rights to its own data and content uploaded to the platform.

10. Service Availability

  • We strive to maintain 99.9% uptime but do not guarantee uninterrupted access.
  • Scheduled maintenance will be communicated in advance whenever possible.
  • We are not liable for downtime caused by factors beyond our control (internet outages, natural disasters, third-party service failures).

11. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Service is provided "as is" without warranties of any kind, express or implied.
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
  • Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Xentovia Tech Pvt Ltd, its officers, directors, and employees from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

13. Termination

  • Either party may terminate the subscription with 30 days' written notice.
  • We may suspend or terminate your account immediately for violation of these Terms.
  • Upon termination, you may request export of your data within 30 days.
  • Sections on intellectual property, limitation of liability, indemnification, and governing law survive termination.

14. Governing Law and Disputes

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in the state where Xentovia Tech Pvt Ltd is registered.

15. Changes to These Terms

We may update these Terms from time to time. Significant changes will be communicated via email or a notice on our website at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance.
